If you're using Word XP (2002) or an adjacent version, you can insert an auto-numbered caption with the following steps:
1. Right-click on an image and select Caption.
2. If you want, you can use the pre-defined caption type Figure, or you can click the New Label button and define an Image type. (I suspect it will stick around at least for this document, and probably for all your documents thereafter.)
3. You may want to play with some of the other options before clicking OK.

As per my practice in Ms-Office 2003. I generally insert the image i.e. Insert%26gt;Picture%26gt;from a file%26gt;browsing the picture selecting it and inserting after inserting put a text box from the drawing tool bar, type the matter and make the text box appear in front of picture that's it.
